Terms of Service

1. Acceptance of Terms

By accessing or using ChurnNote (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. ChurnNote is operated by ChurnNote (“we”, “us”, “our”).

2. Description of Service

ChurnNote is a SaaS tool that automatically sends personalized plain-text emails to customers after they cancel a subscription (tracked via Stripe or Lemon Squeezy), captures their replies, categorizes churn reasons using AI, and provides a dashboard for tracking cancellation feedback.

3. Account Registration

  • You sign in with Google or an email sign-in link to create an account
  • You must provide accurate and complete information
  • You are responsible for maintaining the security of your account
  • You must be at least 18 years old to use the Service
  • One person or legal entity may not maintain more than one account

4. Subscription and Billing

  • ChurnNote is available for $29/month or $290/year
  • Payment is processed through Lemon Squeezy
  • Subscriptions renew automatically unless cancelled
  • You may cancel your subscription at any time through your account settings or the Lemon Squeezy customer portal
  • When you cancel, you retain access until the end of your current billing period; no refund is issued for the remaining time except as provided by the 30-Day Guarantee below
  • We reserve the right to change pricing with 30 days notice. Price changes never apply retroactively to an active billing period, and existing subscribers keep their current price unless we notify them otherwise with that notice period

5. Refund Policy and 30-Day Guarantee

You are charged when you subscribe. The guarantee below is a refund you can request — it is not a free trial and does not prevent the initial charge.

  • What the guarantee covers: if ChurnNote identifies no qualifying recovery opportunity in your first 30 days after your first payment, you may request a full refund of that first payment (monthly or annual).
  • Qualifying recovery opportunity means any of the following recorded in your workspace during those 30 days: a failed-payment event on a subscription, a cancellation event (with or without a captured reason), or a win-back opportunity.
  • Eligibility: first-time subscribers only, one guarantee per person or business. Your Stripe or Lemon Squeezy account must have been connected for at least 21 of the first 30 days — ChurnNote can only find opportunities in data it can see.
  • How to request: email hello@churnnote.com from your account email within 45 days of your first payment.
  • Processing: refunds are issued through Lemon Squeezy to your original payment method, typically within 5–10 business days of approval.
  • Exclusions: renewal payments, and accounts terminated for violating these Terms.
  • Outside the guarantee: payments are non-refundable. If you cancel, you keep access until the end of the current billing cycle without a refund for the remainder.

6. Acceptable Use

You agree not to:

  • Use the Service to send spam or unsolicited emails
  • Use the Service in violation of any applicable laws, including anti-spam laws (CAN-SPAM, GDPR, etc.)
  • Send emails to people who are not your actual cancelled customers
  • Misrepresent your identity in exit emails
  • Use the Service to harass, abuse, or threaten any person
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to compete directly with ChurnNote
  • Share your account credentials with third parties

7. Email Sending

  • Emails are sent on your behalf using the sender identity you configure
  • You are responsible for ensuring you have the right to email your cancelled customers
  • Email content is generated by AI based on the context you and your cancellation data provide
  • You acknowledge that AI-generated content may occasionally be imperfect
  • We send emails via Resend and comply with their acceptable use policies

8. API Keys and Data Access

  • You grant ChurnNote permission to access your Stripe or Lemon Squeezy account via the API key you provide
  • API keys are encrypted at rest in our database
  • We only access data necessary to track cancellations (subscriptions, customers, products)
  • You can revoke access at any time by disconnecting your provider or revoking the API key
  • You are responsible for the permissions granted by the API key you provide

9. Intellectual Property

  • ChurnNote and its original content, features, and functionality are owned by ChurnNote
  • You retain ownership of your customer data, cancellation records, and notes
  • AI-generated email content is provided for your use and you may use it freely

10. Limitation of Liability

To the maximum extent permitted by law, ChurnNote shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that emails will always be delivered successfully.

12. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

  • You may delete your account at any time from Settings → Data & privacy, which immediately stops all processing and removes your workspace data as described in the Privacy Policy
  • We may terminate or suspend your account if you violate these Terms
  • Unsubscribe, bounce, and spam-complaint records are retained after deletion, as required to keep honoring recipient opt-outs
  • No refund is issued upon termination except as provided by the 30-Day Guarantee (section 5)
  • Sections 5, 9, 10, 11, and 14 survive termination

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the date. Continued use of the Service after changes constitutes acceptance.
